Terms of Service

1. Introduction
These Terms of Service ("Terms") govern the relationship between BLD - Agency s.r.o., Company ID 50 058 215, registered office Jána Ondruša 3357/19F, 900 31 Stupava, Slovak Republic, registered with Bratislava III City Court, Sro section (the "Provider"), and any natural or legal person using the Uptraq service (the "User").
These Terms, together with the Privacy Policy, Cookie Policy, and — for B2B customers — the Data Processing Agreement, form a single agreement between the Provider and the User.
2. Definitions
- Service / Uptraq — the web application available at uptraq.eu and app.uptraq.eu, including its API and all related functionality.
- Account — the User's registration record in the Service.
- Plan — a subscription package of features (Free, Starter, Pro, Agency).
- Monitor — a configured checkpoint that the Service polls periodically (HTTP, API, TCP, heartbeat, or SSL).
- Incident — an event when a Monitor signals unavailability or degraded performance.
- User's Client — the User's end-customer whose contact details the User may add to the Service for notification purposes.
3. Service description
Uptraq is a SaaS for monitoring service availability. Core features:
- Monitoring: HTTP/HTTPS endpoints, APIs (with custom headers, request bodies, status code and keyword checks), TCP ports, heartbeat pings via tokenized URLs.
- SSL checks: monitoring TLS certificate validity and pre-expiry alerts.
- Automatic notifications to the User via email, Slack, SMS, or webhook (availability depends on Plan).
- Automatic notifications to end-Clients in their preferred language (Slovak, Czech, English, German, Polish) — by email on the User's behalf.
- Public status pages with optional white-label branding (custom logo, brand color, domain) on Pro and Agency plans.
- AI incident diagnostics and deterministic pattern detection (Pro and Agency).
- Team management for multiple seats on the Agency plan.
4. Registration and account
4.1. Accounts are created with a valid email + password, or via Google OAuth. The email must be verified before paid features are accessible.
4.2. Passwords must have at least 8 characters. The User is responsible for protecting credentials and must report any compromise immediately.
4.3. Two-factor authentication (TOTP) and passkeys (WebAuthn) are optionally available.
4.4. One Account is for one person. Sharing the Account with unauthorized third parties is prohibited; for teams use the Agency plan.
5. Age limit
The Service may be used independently by persons aged 16 and over, matching the digital consent age under § 15(1) of Slovak Act No. 18/2018. Younger persons need verifiable parental consent.
6. Subscription and payment
6.1. Plans and pricing
Current plans and prices are published on the Pricing page. Plans include Free, Starter, Pro, and Agency. Prices are in EUR.6.2. Lemon Squeezy as Merchant of Record
Payments are technically processed by Lemon Squeezy Inc. as Merchant of Record (the legal seller for VAT). Lemon Squeezy issues invoices, processes payments, and remits VAT in the User's jurisdiction. Payment card data never reaches the Provider's servers.6.3. 30-day Pro trial
On first signup the User automatically receives a 30-day free trial of the Pro plan without entering a payment card. After it ends, the Account automatically downgrades to Free unless the User pays for a paid plan. The trial is bound to the email address — re-registering with the same email does not grant a new trial.6.4. Renewal and cancellation
Subscriptions renew automatically at the start of each billing period (monthly or yearly). Users can cancel anytime from the dashboard — cancellation takes effect at the end of the current billing period. No refund is given for the unused portion of the period.6.5. Price changes
For price changes, the Provider notifies active subscribers by email at least 30 days in advance. New prices apply from the next billing period. Users may cancel before the new prices take effect at no cost.6.6. Add-on monitors
Add-on monitors are available on top of any paid plan at EUR 0.70 / monitor / month (or EUR 7 / monitor / year). Add-ons are independent subscriptions that may be canceled separately.6.7. Consumer waiver of right of withdrawal
When purchasing a paid plan, a User who is a consumer expressly consents to immediate provision of the digital service upon payment and acknowledges that they lose the right of withdrawal under § 7(6)(l) of Slovak Act No. 102/2014.7. Acceptable Use Policy (AUP)
The User agrees not to:
- monitor services for which they have no authorization, or whose monitoring would violate law;
- run load tests, DDoS simulations, or otherwise intentionally overload target servers via checks;
- scrape data from third-party services without consent;
- circumvent security measures of the Service or target servers;
- share credentials with unauthorized persons;
- reverse-engineer, decompile, or disassemble the Service's software;
- use the Service to provide competing services to third parties;
- monitor a service in breach of that service's own terms.
8. Availability and SLA
8.1. Target availability
The Provider strives for 99.5 % monthly availability on paid plans, measured as the ratio of successful internal checks to total checks in the calendar month.8.2. Scheduled maintenance
Scheduled maintenance is excluded from the availability calculation. The Provider announces scheduled maintenance by email and on the Service status page at least 48 hours in advance, except where security urgency does not allow.8.3. Exclusions
The availability commitment does not apply during:- force majeure events;
- outages on the side of sub-processors (notably Hetzner, Resend, Lemon Squeezy, OpenAI);
- DNS, network, or BGP issues outside the Provider's control;
- issues caused by the User or their integrations;
- DDoS or other malicious attacks;
- Account suspension for breach of Terms.
8.4. Credit for missed SLA
For each 0.1 % below 99.5 % monthly availability (after exclusions) on a paid plan, the User is entitled to a credit of 5 % of the monthly fee, capped at 30 % of the monthly fee. No SLA applies on Free.Credits must be claimed by email to traq@uptraq.eu within 14 days of the end of the affected month, with Account identification and incident description. Credits are applied as a reduction of the next invoice. Unused credits do not roll over or pay out.
9. Liability
9.1. Limitation
To the maximum extent allowed by law, the Provider's total liability to the User is limited to amounts the User paid to the Provider (or via Lemon Squeezy) during the 12 months preceding the event giving rise to liability.The limitation does not apply to:
- intent or gross negligence;
- harm to life, health, or property of a consumer that cannot be contractually limited;
- personal data breach claims, where GDPR applies exclusively;
- other claims whose limitation is prohibited by applicable law.
9.2. User indemnity
The User indemnifies the Provider against any third-party claims arising from:- content the User puts into the Service (Monitors, status pages, client contacts);
- the User's breach of the AUP;
- the User's infringement of third-party intellectual property.
9.3. Force majeure
Neither party is liable for failure to perform caused by events beyond their reasonable control — war, pandemic, natural disasters, government orders, internet infrastructure outages outside the Provider's network, cyberattacks targeting sub-processors.10. Intellectual property
10.1. The Uptraq Service, including software, design, trademarks, and documentation, is the Provider's property. The User receives a non-exclusive, non-transferable license to use the Service solely for the purpose defined in these Terms and for the duration of the subscription.
10.2. User Data (monitor configurations, status pages, incidents, end-Client contacts) remains the User's property. The Provider may use it only for the purpose of delivering the Service. Anonymized aggregated data (no possibility of identifying a specific User) may be used by the Provider for Service improvement and statistical evaluation.
10.3. After Account deletion, all User Data is permanently deleted in accordance with the Privacy Policy.
11. Data and privacy
Personal data processing is governed by the separate Privacy Policy. B2B Users who process their own clients' data have a Data Processing Agreement (DPA) available.
12. Beta and new features
The Provider may make beta, alpha, or preview features available to the User. These are provided "as is" — without any warranty of stability, availability, forward compatibility, or SLA. The Provider may modify or remove them at any time.
13. Termination
13.1. The User may close their Account anytime via Profile → Danger Zone → Delete Account. Deletion is permanent and completes within 30 days.
13.2. The Provider may suspend or terminate the Account for:
- breach of the Terms or AUP;
- non-payment of a due invoice 14 days past due;
- discontinuation of the Service (with at least 90 days prior notice and a data export window).
13.4. After Account termination, the User has a 30-day grace period to export data.
14. Communication
14.1. Official notices from the Provider to the User are delivered to the email address on file. The User must keep their address up to date.
14.2. The User serves notices to the Provider at traq@uptraq.eu or by mail to the Provider's registered office.
15. Changes to Terms
The Provider may amend the Terms. For material changes (pricing, service scope, termination conditions, legal framework), active Users will be notified by email and in-Service announcement at least 30 days before the effective date. Continued use after the effective date constitutes acceptance. If the User does not agree, they may close the Account before the effective date.
16. Assignment
The Provider may assign its rights and obligations under these Terms to a third party in connection with an acquisition, merger, or sale of substantial assets, with notice to the User. The User may not assign their rights without the Provider's prior consent.
17. Severability
If any provision is invalid or unenforceable, the remaining provisions remain in effect. The invalid provision is replaced by one that most closely approximates the original intent.
18. Governing law and jurisdiction
These Terms and the relationships arising from them are governed by the laws of the Slovak Republic, excluding conflict-of-laws rules. Disputes are resolved by the competent Slovak court at the Provider's registered office, unless mandatory consumer protection rules require otherwise.
Consumers may use the Slovak alternative dispute resolution scheme (adrportal.gov.sk) or the EU online dispute resolution platform (ec.europa.eu/consumers/odr).
